Treatment of Members Upon Their Death and Withdrawal from a Limited Liability Company: The Case for a Uniform Paradigm Carter G. Bishop
Professor Bishop focuses on the effects of dissociation by death or withdrawal from a limited liability company. Professor Bishop compares the Uniform Limited Liability Company Act with other business organization forms and various state laws. He urges the adoption of ULLCA, concluding that a uniform paradigm would advance predictability, simplify practice, and promote the development of precedential case law.

A Critique of the Uniform Limited Liability Company Act Larry E. Ribstein
Professor Ribstein urges the states not to adopt the Uniform Limited Liability Company Act. He analyzes ULLCA section by section and concludes that its "often quirky" provisions will not help achieve uniformity. Moreover, Professor Ribstein contends that ULLCA suffers from poor drafting and questionable policy choices.
